STANDARD TERMS AND CONDITIONS OF SALE
- Application of Terms
The client explicitly waives any standard terms and conditions that conflict with these Terms and Conditions of Sale, including any terms created after the issuance of this document. Any deviations from these terms must be agreed upon in writing by Sun Limited in advance to be considered valid. - Payment Terms
All invoices issued by Sun Limited are payable within 21 working days, unless a different payment timeframe is explicitly stated on the invoice or order form. In the event of late payment, Sun Limited reserves the right to charge a late payment interest of 10% on the overdue amount. Sun Limited may also suspend the provision of products or services, including phone deliveries or repairs, without prior notice if payment is not received by the due date. - Debt Recovery Procedures
If a payment remains outstanding for more than sixty (60) days after the due date, Sun Limited reserves the right to engage a debt recovery agency to collect the amount owed. The client will be responsible for all associated legal costs and expenses incurred in the debt recovery process. - Withholding Tax
Certain countries may apply a withholding tax on invoiced amounts as per their local tax laws. The client is solely responsible for paying any such withholding tax directly to their local tax authority. Sun Limited will not be liable for any taxes or fees imposed by the client’s local jurisdiction. The full invoice amount is due to Sun Limited without any deductions for local tax obligations. - Service Delivery and Performance
Sun Limited will make every reasonable effort to deliver products (including smartphones and related accessories) and services (such as repairs, consultations, or trade-in evaluations) according to the agreed-upon timelines. However, none of its obligations will be regarded as a guarantee of specific results. Sun Limited cannot be held liable for indirect, consequential, or incidental damages, nor can it be compelled to act as a third party in any claims filed by the client’s end customers. - Product Complaints and Disputes
Any complaints related to the products or services provided by Sun Limited, including faulty smartphones, accessories, or trade-in evaluations, must be communicated in writing via registered mail to the company’s registered office within 8 days of delivery or service completion to be considered valid. - Governing Law and Jurisdiction
All contracts and agreements between Sun Limited and its clients will be governed exclusively by Hong Kong law. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of Hong Kong. - Service Suspension and Termination
Sun Limited reserves the right to suspend or terminate any service or product delivery if the client fails to meet their payment obligations or violates any of the terms set forth in this document. - Force Majeure
Sun Limited will not be held responsible for delays or failures in product deliveries or service provision due to events beyond its control, including but not limited to acts of nature, strikes, terrorism, or any other unforeseen events. - Data Privacy and Security
Sun Limited adheres to stringent data privacy and security measures to protect the personal and business information of its clients. However, the client is responsible for maintaining the confidentiality and security of their accounts, devices, and communication systems. Sun Limited will not be liable for any breaches that occur due to negligence on the part of the client.
